| The Management Committee has the power to select and remove all officers, agents and contractors, and to fix reasonable compensation thereof, to authorize and empower officers or agents to enter into contracts and other commitments on behalf of the Alliance, and to appoint and delegate responsibilities and authority to committees, officers and agents. |

| Each Principal Member has designated one (1) Director and one (1) Alternate Director to serve on the Management Committee. Each Director and Alternate Director must be an employee, officer, director or duly authorized Representative of the Principal Member on behalf of which he or she is serving. |
